摘 要
台灣的半導體產業是目前台灣國內最具有世界級競爭力的產業。半導體整體產業垂直分工完整,在晶圓製造功能部分,有晶圓代工全球領先者,台積電(TSMC)與聯電(UMC);位居中樞位置的有300家以上的IC設計公司,以十億美元的國際級IC設計公司門檻,先後有威盛電子與聯發科技達到此一水準,在2003年營收排名全球前三十大的無晶圓廠IC設計公司(fabless IC design house)中的台灣廠商就有聯發科、威盛、凌陽、聯詠、瑞昱、揚智六家等公司,佔有五分之一的比率;而由於台灣與大中華地區為全球電子製造業的重心,在半導體成品物流部分則有世平、友尚等專業半導體通路商將各IC設計公司的IC產品交由各電子製造公司使用,並與其他系統組裝為成品。半導體產業垂直分工三大體系晶圓代工、IC設計公司與半導體通路商,以IC設計公司為樞紐有著非常緊密的策略聯盟合作關係。
台灣發展起來的晶圓代工產業,也是支持台灣諸多IC設計公司營運的良好環境。這樣良好的合作模式在晶圓製造製程尺寸微米、奈米化以及系統單晶片的趨勢下,遭遇到許多國際的IDM公司以專利侵權等訴訟為手段嚇阻台灣IC設計公司進入附加價值高的產品領域,這類公司多屬於高階精密製程,而許多相關IP多掌握在國際大廠上,主要的晶圓代工公司也極力發展相關的IP平台支援在內部投片的策略聯盟IC設計公司,政府更推出矽導計畫要解決單晶片(System on Chip)的IP侵權問題,促使IC設計公司的產品設計更能掌握時效,與世界大廠競爭。但IC設計公司週期性地面對產能不足的狀況,也使IC設計公司思考是否自行發展晶圓廠的策略選擇。
另外由於台灣為世界的電子製造業重鎮,大小廠商林立,因此半導體通路商在台灣特別活躍,與半導體通路商的策略聯盟對IC設計公司而言,是降低營運槓桿的常態。2001-2003年半導體通路商興起相互合併的風潮,目的是為了增加既有的產品組合與營運實力,以便邁向國際級競爭。
本研究在於探討以IC設計公司為核心,以個案研究方式探討IC設計公司對於上游晶圓代工廠商、下游半導體通路商與同業之間的策略聯盟關係,本研究以天時電子為例,分析策略聯盟當中內在的競合關係,以及策略聯盟對於企業的整體影響性。
