2015年12月11是,杜邦陶氏宣布合併,在化學領域投下了震撼彈,因為兩家公司合併後一舉成為世界最大的化學公司,在某些領域更是成為寡占,因此在當下就提出在合併完成後會分拆成三家不同類型的公司,分別為農業的Corteva,大宗化學的New Dow 和特用材料的 New Dupont。這在當時許多媒體發表評論,認為這是一樁聰明的交易,將兩家公司相關的產品線整合,達到強強聯手,期望能達到最大的綜效,最後歷經近4年完成此合併又分拆的事件。本研究就是在此併購案完成後檢視此併購案是否與當時的計畫相符,強強聯手,一片美好;或是在合併後績效不如預期的衰退。
而合併後留在台灣的產品全都落在電子業所使用的特用化學品,因此也會針對拆分後的杜邦公司的電子與影像事業部做一些分析,來觀察經過此合併案後,對於此事業部的影響。
The Dow Chemical Company and E. I. du Pont de Nemours& Company announced its equal merger on 11th Dec,2015 and new entity operated by a holding company named “DowDuPont”. The meta-merger becoming a behemoth shook up the market specifically in the chemical field. Sequent spilt-off entity into three independent companies as Agriculture, Specialty Products and Materials Science and completed its process within four years. It was suggested that the value proposition was that we would take two strong diversified industrial companies and create three streamlined industry leaders with best-in-class cost positions, market positions, and products.
This research using Event Analysis to investigate the effect of definitive mergers and examine the performance on Merger and Acquisition through the analysis of financial data. Does it cause business synergy, stagnation or diminution? Furthermore, it is also crucial to delineate the analysis regarding Electronic and Image Division under Specialty Products offering the solution for electronics industry after merger since it supplies the special chemicals for electronics industry in Taiwan.
