本研究是以質性研究與半結構式訪談法，藉由訪談產業界的觀點，來了解企業在執行公司治理評鑑時遇到的困難與挑戰。目前台灣之產業界依金管會制定之「公司治理3.0－永續發展藍圖」及每年的公司治理評鑑指標的指引，逐步走向國際的公司治理軌道。本研究將國際之公司治理評鑑機構，亞洲公司治理協會ACGA（Asian Corporate Governance Association）針對台灣所提出的公司治理之問題，以問卷形式經由實地訪談得知產業界在執行面的改善程度，以了解台灣在國際公司治理評鑑中提升競爭力的機會。
ACGA在2020年度公司治理評鑑，提到台灣有很多改善的空間，如缺乏透明度、股東持股比率額申報門檻、強化利害關係人溝通及風險管理、董事會多元化披露、董事會薪酬披露及獨立董事的專業度等。
本研究提出改善建議。首先，政府應該加強監管與加速立法相關法規制度，以提高公司治理的透明度與效率。其次，企業應該加強透明度，提供更多與股東溝通的機會，並增加專業董事的比例。再來是企業也應該及早推動「專任」之公司治理主管，以推動公司治理業務並加強內部控制與風險管理。而金管會於2023年3月公布上市櫃公司永續發展行動方案，也針對相關問題提出解決的時程。

This research uses qualitative research and semi-structured interview method to understand the difficulties and challenges that enterprises encounter in the implementation of corporate governance evaluation by interviewing the viewpoints of the industry. At present, Taiwan's industry is gradually moving towards an international corporate governance track in accordance with the "Corporate Governance 3.0-Sustainable Development Blueprint" formulated by the Financial Supervisory Commission and the annual corporate governance evaluation indicators. In this study, the ACGA (Asian Corporate Governance Association), an international corporate governance assessment organization, aimed at corporate governance issues raised by the Asian Corporate Governance Association in the form of questionnaires. Learn about opportunities for Taiwan to enhance its competitiveness in international corporate governance assessments.
In the 2020 Corporate Governance Review, ACGA mentioned that Taiwan has a lot of room for improvement, such as lack of transparency, threshold for reporting shareholder shareholding ratio, strengthening stakeholder communication and risk management, board diversity disclosure, board remuneration disclosure and independent director professionalism etc.
This study provides recommendations for improvement. First of all, the government should strengthen supervision and speed up the legislation of relevant laws and regulations to improve the transparency and efficiency of corporate governance. Second, companies should enhance transparency, provide more opportunities to communicate with shareholders, and increase the proportion of professional directors. Furthermore, enterprises should also promote "full-time" corporate governance executives as soon as possible to promote corporate governance business and strengthen internal control and risk management. In March 2023, the Financial Supervisory Commission announced the action plan for the sustainable development of listed and OTC companies, and also proposed a timetable for solving related problems.
